Summary of By-Law Changes
Overall: Font and formatting changed to improve readability. Made all references to gender as neutral or as inclusive as possible.
Article I – Name, Office and Territory
Section 1: Added referral to acronyms of club name.
Section 3: Changed specific description of club’s territory to a more generic one
based on PCA description.
Article II – Objectives
Added additional club objective to include sponsoring additional activities.
Article IV – Membership, Dues and Fees
Sections 1 and 2: Changed to comply with current National Descriptions.
Section 3: Changed dues to be in accordance with PCA guidelines.
Section 4a: Changed to limit residence of elected officers to FSR Territory.
Article V – Resignation and Suspension
Section 2a: Clarified voting requirement for suspension to be done by the Executive Council vice Board of Directors.
Section 2b: Changed Board of Directors to Executive Council responsibilities and included Family or Affiliate Members in termination of member.
Article VI – Officers and Duties
Article was completely changed. An Executive Council was added and consists of elected officers and immediate past president.
The elected officers are the President, 2 Vice-Presidents, Secretary, Treasurer, and Activities Officer. Board of Directors now consists of the Executive Council and the appointed positions of 2
Assistant Vice-Presidents, DE Chair, Membership Chair, Newsletter Editor, and Region Webmaster. Detailed descriptions of each office were updated and/or added.
Duties of the Activities Officer include assisting in the development and coordination of all activities within the FSR region, adjacent regions and zones.
Section 6 became the Committee Chair appointing process and term limitations.
Section 7 describes the duties of the appointed Board Members were also added.
Section 4: Interim Appointments section was moved and added to a new Section 8
(Removal From Office and Interim Appointments) that describes the process for
removing a member from office and appealing removal.
Article VII –Elections
Section 2: Electronic means of publishing of the slate of nominations was added
as well as making November the date of publication.
Section 3: Electronic means of balloting was added and the recipient of the ballots
was changed to the Nominating Committee Chair vice the Secretary.
Section 4: The Chair of the Nominating Committee was added vice the Secretary
as a member of the Tellers.
Section 5: Coordination of election results with the Newsletter Editor and
Webmaster by the Chair of the Nominating committee was added and electronic
notification to candidates was added.
Article VIII – Meetings
Section 1: Conduct of Business using Roberts’ Rules of Orders was eliminated to
allow a smoother conduction of meetings.
Section 2: The requirement for an annual meeting was eliminated. Regular
meetings, as described in new Section 1, can be called to conduct any specific
business if necessary.
Article IX – Competitive Event Chairman
This article was deemed to be unnecessary in the By-Laws and removed.
Article X – Other Event Chairman
This article was deemed to be unnecessary in the By-Laws and removed.
Article XI – Annual Awards
Is now Article IX and now includes availability on Club’s website.
New Article X – Indemnification
Describes the club’s process for securing a member against legal responsibility for
their actions during a club event or club action.
Article XII – Fiscal Year
This is now included in the new Article XI – Accounts.
Article XI – Accounts
Sections in this article include descriptions of Fiscal Year, Books, Audit, Funds,
Financial Orders, Authority to Incur Obligations, and Contracts.
Article XIII – Obligations and Indebtedness
This is now included in the new Article XI – Accounts.
Article XIV – Amendments
Amendments are now Article XII. Electronic means of publishing and voting for proposed amendments by electronic means was added.
